No any role if is connected or not.I installed in both modes and no problem at least in both machines with XP.
Maybe problem is in other side

I too have installed both ways

I only ever seen this message when connected to internet.

I never seen anything ever about licence when not connected to internet.

Disconnecting from internet solved my problem with the same issue, that's why I suggest it.

Because you did not have the issue , does not mean other may not.
